We are on the lookout for senior legal professionals with following background & expertise.
Position Title : Manager--Legal
Experience : 7- 10yrs
Education : LLB/LLM
Desired profile: -
- Must be a Law graduate / Post Graduate & should have + yrs experience from reputed corporate house.
- Should have good communication skill with hands on experience in contract drafting, review and negotiation.
- Prior experience working with an IT services company is essential.
Responsibilities:-
- Vetting and drafting variety of agreements includes Master Service agreements, vendor agreements, Non-Disclosure Agreements, Professional Service agreements, work orders/ SOWs, Software Licensing Agreements etc.
- Manage contract summarizations/abstractions and contract management.
- All business and functional unit related agreements and evaluation of documents.
- Review and evaluate the terms and conditions in customer requests for proposal (RFPs”), and assist business teams in framing responses on legal and contractual matters.
- Providing tactical and strategic legal input on contracts issues, business development and operational issues.
- Work closely with deal team and providing them with innovative business solutions.
- Periodically review, amend and advise changes to the standard company's contracts in line with statutory and regulatory requirements.
- Occasionally co-ordinate with outsourced legal counsel.
- Provide risk assessment of contract terms and conditions and offer alternative approaches to mitigate risk, including negotiating alternative contractual language.
- Assist in creating and implementing contracting policies and practices.
- Train and advice sales team regarding company's contracting policies and practices.
- Prepare, review and negotiate nondisclosure agreements with prospective customers, vendors and other business partners.
